    The Board Liaison and Legal Assistant is an integral member of the Legal Department, reports to the General Counsel and frequently works with the Chief Executive Officer, Chief Financial Officer and Lone Star Circle of Care (LSCC) Board of Directors (Board). The Board Liaison and Legal Assistant manages the full lifecycle of all LSCC contracts and is responsible for planning and compiling information for all LSCC Board meetings and Board committee meetings. The Board Liaison and Legal Assistant supports the General Counsel and Associate General Counsels on a wide array of matters, including litigation management, regulatory filings, peer review process, insurance renewals, compliance and corporate integrity issues and special projects. The Board Liaison and Legal Assistant oversees LSCC’s policy management system. Duties are highly confidential and require comprehensive knowledge of LSCC’s nonprofit policies, procedures, and operations. Responsibilities require discretion, judgment, tact, and poise.

    Responsibilities

    Board Liaison Duties:

    • Works closely with various LSCC staff to collect, compile, review and produce relevant and error free materials, including full board packets, for monthly board meetings and board committee meetings
    • Maintains the schedules for monthly Board meetings and Board committee meeting; arranges facilities and caterers; sends corporate compliant notices regarding board meeting logistics
    • Assembles, prepares and distributes agendas and support materials for board meetings; collects necessary signatures
    • Maintains corporate records including Articles of Incorporation, Bylaws, tax returns, and audits
    • Maintains records of the Board meeting agendas, minutes, board packets, and other resolutions; takes monthly board meeting minutes
    • Maintains Board rosters and ensures board member information is up-to-date
    • Anticipates board member needs; administer board self-evaluation

     

    Contract Management and Legal Duties:

    • Responsible for LSCC’s contract management, including routing contracts for review and execution, maintenance of all Legal Department files and managing a system for periodic review and renewal of all contracts
    • Maintains timetables and review cycles for: litigation; regulatory reporting; insurance renewals and documentation; lease renewals; peer review meetings; clinic listings and DBAs; website updates; risk management programs; and various other compliance requirements and initiatives
    • If the opportunity arises, assist with selection and implementation of a new contract management system
    • Assists the General Counsel and Associate General Counsels on litigation matters, regulatory filings, and reports, peer review documentation and special projects, as assigned
    • Maintains LSCC's database of policies and procedures, ensuring compliance with the periodic review cycle and publication; generates requested reports on policy review
    • Assists with provider offer letters, provider employment contracts, provider recruiting firm contracts and provider loan forgiveness programs
    • Assists with requests for proposals, both submissions and requests
    • Under direction of the General Counsel, assists with visa applications
    • Drafts routine agreements and legal notices
    • Maintain numerous insurance, staffing and other checklists and ensure status updates are provided to relevant departments
    • Schedules meetings, manages calendars and performs administrative duties for the General Counsel and Associate General Counsels
    • Maintains documentation for Legal Department expenditures and reconciles corporate credit card account(s) as necessary
    • Performs research on appropriate topics, as assigned
    • Maintains strict confidentiality of all corporate and personnel matters
    • Attend meetings and take notes and minutes as necessary
    • All other duties as assigned and as required

    Qualifications

    REQUIRED EXPERIENCE, EDUCATION, AND LICENSE:

    • College degree in a related field
    • Minimum five (5) years’ experience in related position
    • Minimum one (1) year experience managing corporate records and working with a board of directors
    • Minimum one (1) year experience managing contracts

     

    PREFERRED EXPERIENCE, EDUCATION, AND LICENSE:

    • Master’s degree in a related field
    • Experience with BoardVantage application or any comparable board portal
    • Active notary public commission
    • Proficiency with MS Office Suite (Word, Excel, and Outlook)
    • Excellent computer skills and the ability to learn new computer programs efficiently
    • Ability to manage numerous projects simultaneously in a fast-paced environment
    • Flexibility and willingness to work on a broad range of matters
